The role of the Company Secretarial team is to ensure good corporate governance standards operate across the Group, supporting the Company Secretary, Chair, Chief Executive and Board and advising them on their legal and regulatory responsibilities and obligations, promoting better decision making and increasing the efficiency of the organisation as a whole.


Purpose



The

Assistant Company Secretary

plays a leading role in delivering the Group's listed and wider compliance and reporting obligations, providing high quality advice in these areas. Responsible for ensuring that Anglo American plc and its Group subsidiaries demonstrate corporate governance best practice in the areas of reporting and compliance obligations (For example listing rules, annual report), shareholder communications and meetings, Group projects and subsidiary compliance.


The Work

- Key Outputs and Accountabilities


The Assistant Company Secretary will provide expert governance advice to internal stakeholders on the practical application of the FCA's UK Listing Rules and Disclosure Guidance & Transparency Rules (DTRs), FRC's UK Corporate Governance Code, the UK Market Abuse Regulation and the UK Companies Act. Deliver a company secretarial service to relevant group subsidiary entities, minuting meetings, acting as counsel to the directors in the meetings and ensuring actions agreed are followed up. Act as the primary point of contact and lead the engagement with the third-party legal entity management provider (currently Deloitte), ensuring that all relevant subsidiaries remain compliant with applicable company law and governance obligations. Assist with all aspects of Anglo American's annual general meeting Support the production of the governance and company secretarial sections of the Integrated Annual Report and reporting suite, ensuring accuracy and compliance with regulation and legislation and best practice. Assist with the preparation and release, via RNS, of regulatory announcements required by the FCA. This involves interpreting the FCA Listing Rule and DTR requirements, collating the necessary information in the very limited time allowed, drafting the announcements accurately and sending the announcements for simultaneous release in the UK and South Africa, Switzerland, Namibia and Botswana Assist with the maintenance of confidential project and FCA compliant insider lists and associated processes. Maintainenance of the register of Directors & PDMRs share interests and assist in the disclosure of those interests via regulatory news announcements and the Integrated Annual Report, including the drafting of disclosures in line with regulatory requirements. Deputise for the Principal Company Secretarial or Deputy Company Secretary when required. Support, help implement and maintain a corporate governance system for the Group as a whole Proactively collaborate with relevant functions to plan and implement step plans to improve the financial effectiveness of the Group's operations and that it operates in a tax compliant manner. Shareholder services: support on the supervision of the activities of the company's share registrars; dealing with transfers and other matters affecting shareholdings; dealing with queries, complaints and requests from shareholders Participate as a member of teams established to implement capital projects such as acquisitions and disposals. Oversee, help develop the performance, and provide mentorship to a Company Secretarial Officer (direct report)

Qualifications

-A relevant Graduate degree Certifications: Associate, Chartered Governance Institute (or equivalent professional certification)

Knowledge



Extensive experience in all aspects of company secretarial work, gained in a listed (UK PLC) environment, is required to operate at this level. Good knowledge of the UK Corporate Governance Code, the FCA's UK Listing Rules, DTRs, company law and other relevant statutes and regulations
