The role
An exciting opportunity to join the Corporate Governance sub-team within the wider Legal function in one of the fastest growing and most innovative companies in the insurance sector. The successful candidate will provide a wide range of company secretarial and corporate governance support to the Group.

Key accountabilities
Act as Assistant Company Secretary and provide timely and expert corporate governance support to the Group.
Ensure all company registers are accurate, complete and up-to-date.
Assist the wider Legal team in maintaining relevant policies and ensure timely review and approval by the relevant Boards/committees.
Provide wide-ranging assistance on company secretarial matters, including but not limited to:
+ drafting agendas, Board and shareholder resolutions, and other relevant company secretarial documentation;
+ taking minutes of meetings and facilitating their timely review by relevant stakeholders;
+ recording actions arising from meetings and following up with action owners on progress; and
+ completing corporate, statutory and regulatory filings. Support other team members with general corporate governance matters.
Act as a liaison between the Corporate Governance function and external corporate services providers across multiple jurisdictions and ensure that all filings and deliverables are completed accurately and on a timely basis.
Maintain awareness of and adhere to corporate governance best practice and the relevant governance codes and principles relevant to the business, as well as relevant statutory and regulatory requirements across all relevant jurisdictions.
Operate as an effective team member by supporting colleagues and contributing to the delivery and achievement of overall team and business objectives.
Liaise with stakeholders across the business to establish and maintain business relationships and ensure operational effectiveness.
Perform any other duties as reasonably requested that fall within your skills and expertise. Duties may be reviewed and updated periodically due to the growth of the team and the business.

Skills & experience
Minimum 3 years' experience as an Assistant Company Secretary or in a similar role.
Currently studying towards, or intending to commence studies towards, a recognised qualification as a Chartered Secretary or Corporate Governance professional (e.g. CGI UK & Ireland qualification).
Proficiency in Boardvantage and other board management software systems.
Experience of advising on a range of corporate governance matters.
Prior experience in or exposure to the London insurance market or wider insurance sector is advantageous but not essential.
High level of proficiency in Microsoft Office (Word and Excel) and Adobe Acrobat.
Ability to effectively manage workload, to plan and prioritise accordingly, and to meet tight deadlines, whilst maintaining a high level of accuracy, attention to detail and professionalism.
Strong sense of urgency, personal responsibility, initiative, and self-motivation.
Strong written and verbal communication skills as well as the ability to interact with individuals on all levels.
Flexible, proactive, and comfortable working in a dynamic and fast-paced environment.
Willingness to work outside of core business hours when required to meet business needs.
