Job title: Associate Director Department: Company Secretarial Real Estate, Fund & Corporate Reporting to: Head of UK, London. Location: London The Role Job Purpose As part of the Senior Management team in your business unit, to drive the vision, mission and values of the company group throughout the team, thereby maximising the contribution of your business unit to the company group as a whole. To act as a role-model leader, supporting both the Directors and Managers of your business unit to manage, supervise and develop an administration team to ensure the provision of a professional and first-class service to clients. Key focus of the role is to act as director on client boards, act as company secretary on listed entities, work closely with local Business Unit Directors and line manage Company Secretarial team based in UK. To maintain and develop relationships with existing and potential new clients and intermediaries whilst promoting the positive image of company through the professional application of services and knowledge. To be responsible for the administration of a portfolio of complex high profile and multinational clients as well as any team client requiring specialist attention in line with the \xe2\x80\x98defined business activities\xe2\x80\x99 identified herein. To provide a source of knowledge and experience for all company employees and to ensure that all tasks are carried out efficiently and effectively, in accordance with company procedures. To act as a liaison between the Directors and Managers of your business unit. To contribute to and/or lead company initiatives and projects as and when required. The list of defined business activities is not exhaustive and may be amended from time to time: Technical Expertise \xc2\xb7 To demonstrate and be recognised for technical excellent and expertise in your specialist area with developing knowledge in other relevant business and operational areas of the company Group \xc2\xb7 Consults appropriate colleagues when undertaking work outside own area of expertise to ensure compliance and minimise risk \xc2\xb7 Demonstrates sound judgement and professional scepticism when accepting instructions from new and existing clients, particularly when dealing with risk issues \xc2\xb7 Acts as \xe2\x80\x98relationship manager\xe2\x80\x99 on a portfolio of client entities to ensure that they act according to their guiding principles and within corporate and regulatory constraints and good practice \xc2\xb7 Provides independent technical and strategic guidance in the capacity of Associate Director and as Director of client entities, at all times upholding the highest level of corporate governance and being prepared to challenge \xe2\x80\x93 where appropriate \xc2\xb7 To maintain knowledge of the external business environment and relevant industry specific trends in order to provide sound and practical advice to clients \xc2\xb7 Demonstrates knowledge of corporate governance requirements, internal compliance, anti-money laundering and other relevant policies and procedures \xc2\xb7 Shares and communicates technical knowledge to others within the company group, and in particular your immediate team/business unit \xc2\xb7 Ensures that all CPD requirements are met year on year for both you and all members of your team, and that training and development is relevant \xc2\xb7 Provide company secretarial services to listing entities within the Corporate team as Chartered Company Secretary. \xc2\xb7 Physically attend board meetings of clients to provide support to junior team members and/or take minutes as company secretary for listed entities.
