Comcast NBCUniversal has announced its intent to create a new publicly traded company ('Versant') comprised of most of NBCUniversal's cable television networks, including USA Network, CNBC, MSNBC, Oxygen, E!, SYFY and Golf Channel along with complementary digital assets Fandango, Rotten Tomatoes, GolfNow, GolfPass, and SportsEngine. The well-capitalized company will have significant scale as a pure-play set of assets anchored by leading news, sports and entertainment content. The spin-off is expected to be completed during 2025.

Our Business




The Associate Counsel, Business & Legal Affairs is part of the Global Distribution business & legal affairs team responsible for providing support to both Universal Pictures Home Entertainment's (UPHE) global home entertainment business, covering digital and physical transactional distribution, and to NBCUniversal Global Distribution's television and new media distribution business. This will include working with UPHE's licensing and marketing teams, and with Global Distribution's sales, digital, and administrative teams. This global and client-facing role will provide the Associate Counsel with broad experience and great variety of work.


This role will be an integral member of the Business & Legal Affairs team, providing legal support to both UPHE and the Global Distribution businesses as required, and reports into the Vice President, Business & Legal Affairs NBCUniversal Global Distribution in London.


As a member of the Business & Legal Affairs team your responsibilities would include:

Negotiating, drafting and reviewing licensing and other content distribution agreements. Managing the third-party intermediary process for UPHE's licensees, including being the primary point of contact for the NBCUniversal Compliance team. Negotiating, drafting and reviewing services agreements, including PR, digital services and other marketing related services agreements, content creator/influencer agreements, promotional agreements, and sweepstake terms & conditions. Providing legal advice and related support to UPHE's marketing and licensing teams, and on wider UPHE and Global Distribution business affairs matters as required. Negotiating, drafting and reviewing other ad hoc commercial agreements as required. Liaising with the applicable NBCUniversal Corporate Legal teams and advising the business on competition law, anti-corruption, data privacy, content protection and IP matters as necessary. Advising and collaborating with commercial colleagues responsible for structuring and negotiation of key deal terms to maximise revenue opportunities. Managing disputes and litigation, including management of outside counsel where necessary. Liaising and maintaining strong working relationships with other functions including the Finance and Tax teams.


Qualifications

The Candidate



This role would suit a newly or recently qualified solicitor who has worked in the media team of a law firm, ideally with some in-house media experience.

Essential Skills and Qualifications:



UK legally qualified, but consideration will be given to candidates with substantial in-house business affairs experience and qualifications from another common law jurisdiction. Experience of intellectual property law and licensing rights. Good understanding of the film and entertainment business. Excellent communication and interpersonal skills with an ability to interact with a range of personalities and styles, and to be able to establish effective relationships at all levels within the organisation. Well organised, efficient and have ability to multi-task and prioritise without constant supervision. Ability to adapt to a changing environment with a diverse workload. A can-do attitude with the ability to work independently and as part of a team. Computer literate with proficiency in Microsoft Word, Outlook, Excel and Powerpoint.
