Working hours are Monday-Friday, 9am-5pm. Hybrid working is also available.

The purpose of this role is to two fold. Firstly, to provide administrative support to the Company Secretary. In this role you will support meeting the Statutory requirements of the Eurofins Group\'s UK and Ireland legal entities in a timely manner. The role includes ensuring that the Group\'s UK and Ireland companies comply with Group corporate governance as set out in the internal \xe2\x80\x9cSpending & Contracting Authority\xe2\x80\x9d directive. Secondly to work with the Company Secretary to ensure Legal and Compliance requirements are in place across the UK and Ireland Eurofins Group Companies by supporting with the coordination of compliance related activities.

This position will offer the job holder an excellent opportunity to develop expertise in legal and compliance activities, as well gain an insight into Company Secretarial/Legal Counsel activities. This is a great role for those starting out/early into their Company Secretary career.

  • Provide day to day compliance and legal and company secretarial administration support and assistance to the Company Secretary
  • Assist in ensuring all Eurofins UK and Ireland statutory company books, statutory records and regulatory filings are well maintained and up to date at all times
  • Management and filing of Group\'s intercompany service agreements to ensure recharge employees to non-UK Eurofins entities are set up in line with Group requirements
  • Drafting board minutes, resolutions, and shareholder resolutions for UK and Ireland companies in accordance with statutory, regulatory and Group procedures
  • Updating and maintaining the Group\'s corporate data held in the Corporate Dataroom and on the Group\'s data management system.
  • Assistance with drafting and management of intercompany service agreements for Group UK and Ireland companies
  • Quarterly submission of representation letters to Group in accordance with audit requirements
  • Maintaining the Group\'s corporate structure data management system (GAX/EGSS)
  • Developing a good understanding of key policies relevant to role to be able to advise key stakeholders on queries relating to policy and procedure
  • Maintain robust systems and tracking to support the management of key tasks and responsibilities
  • Support the Company Secretary to maintain the electronic Company Secretarial system
  • Assist in the tracking of UK and Ireland companies\' compliance with key governance policies and compliance targets, guiding managers as needed around those policies and supporting education on policy content where necessary
  • Track completion levels of e-learning compliance for Eurofins UK and Ireland legal entities, updating MD\'s on their entities position on a quarterly basis
  • Responding to email queries and calls relevant to role
  • Conduct the S&CA project and the Statutory Accounts filing on an annual basis
  • Develop knowledge of Data Protection requirements and support the Company Secretary to provide advice to the business ensuring key measures are in place
Qualifications
  • Further A level qualifications with 3 + years\' experience in dealing with legal processes and regulatory authorities, preferably gained in a large complex group.
  • Company Secretarial or Paralegal qualifications or working toward these qualifications is an advantage.
  • Two years\' experience in an administrative role in an area such as CoSec / governance / legal
  • It is desirable you have a working knowledge of data protection law.
  • Experience of reviewing contracts is an advantage
  • Excellent verbal and written communication skills, with the ability to write clearly and concisely with a strong business acumen
  • Ability to take accurate minutes of meetings and record them appropriately.
  • Methodical with strong organisation and prioritisation skills and a high level of accuracy and attention to detail
  • Trustworthy, experienced and capable of keeping confidential information confidential
  • Team Player with strong communication skills
  • Highly motivated to maintain an organised framework in accordance with Statutory and Group requirements
