Are you an experienced Company Secretary with a passion for governance, compliance, and driving best practices at board level? We're looking for a proactive and detail-oriented individual to join our team and play a key role in shaping our corporate governance framework.
As Company Secretary, you will provide strategic support to the board and senior leadership, ensuring compliance with legal and regulatory requirements. You'll be responsible for managing Board and Committee operations, maintaining statutory records, and collaborating on key governance projects.
Key Responsibilities
Board and Committee Management:Scheduling of Board and Committee meetings
Draft comprehensive agendas for board and committee meetings.
Collation and timely distribution of meeting packs and papers
Ensure accurate minutes and matters arising are maintained and circulated in a timely manner
Manage timeframes for reporting and distribution of papers to key stakeholders.
Effectively manage and follow up on action items arising from meetings.
Handle other associated administrative duties as required.
Delivering Board and Committee onboarding training
Compliance:Collaborate with the Head of Compliance to ensure adherence to regulatory requirements and obligations under the Companies Act.
Support the oversight and development of the governance framework, providing assistance as needed.
Company Secretarial Projects:Assist in relevant company secretarial projects, including board evaluation processes, skill matrix, training and reviews of reserved matters, conflicts of interest and terms of reference.
Legal and Regulatory Compliance:Stay informed about changes to company law, relevant regulatory requirements, and best practices in corporate governance.
Companies House Submissions:Draft and file submissions with Companies House in a timely and accurate manner, including confirmation statements, annual accounts and director appointments / resignations.
Share Capital and Company Resolutions:Update share capital records for the organisation's companies.
Draft and circulate company resolutions as required.
Maintenance of Company Registers:Maintain accurate and up-to-date company registers, including those of affiliated Group companies.
FCA's Conduct Rules:Ensure compliance with the FCA's Conduct Rules.
Risk Management and Control Environment:Support the maintenance of a robust control environment within the business area.
Ensure the effective design and operation of controls.
Identify risks, risk events, and issues, and report them promptly.
Participate in risk management activities as required.
Skills, Knowledge & Expertise
Significant experience in a Company Secretary or senior compliance role
Experience working within PRA and Lloyd's of London regulated environments.
Ability to work independently with limited supervision and as part of a team
Ability to respect the need for discretion and handle confidential information
Good communication skills, both orally and in writing
Good working knowledge of MS Office applications
Good attention to detail, particularly with regard to the presentation of work
Ability to prioritise and work to strict deadlines
