Smiths Group, a leader in advanced technology and engineering solutions, is seeking a talented Contracts Manager to join our esteemed Business Information Systems (BIS) legal team in London on a hybrid working basis.

The Business Information Systems (BIS) team at Smiths Group plays a pivotal role in ensuring the seamless operation and optimization of our IT and software systems. Our dedicated professionals work collaboratively across various business units, providing strategic guidance, technical expertise, and world-class support to drive efficiency, productivity, and growth.

Reporting to the General Counsel, BIS, you will design, negotiate, and agree suitable commercial contracts. You will also be responsible for the global appointment (and, renewal) of new service vendors (Partners) across multiple disciplines including major I.T and software providers.

Using your commercial savviness, you will work with our Partner network to ensure suppliers continuously meet current, and future requirements enabling us to deliver our sales and service strategy. You will also support any data privacy related contractual queries including supporting the business with Privacy Impact Assessment Forms, Transfer Risk Assessments and Security Assessment Questionnaires.

This role will not only offer you the opportunity to influence the contract management lifecycle, but it will also offer you the autonomy to implement change, and the opportunity to play a supportive role in developing the mid to long term global strategies.

It is also important to note, you\'ll be joining a team of experts, keen to support you in a role that will offer great variety and exposure to all functions across the Group. You will have access to a wide variety of support within a receptive, highly visible, open, and close-knit Smiths BIS Legal team who are part of the wider Smiths Group Legal Team. This association will offer you access to our legal experts within the Centre of Excellence which also includes our Compliance teams.

Duties & Responsibilities

  • Maintain the global picture of partner contracts, footprint, performance, and capacity, including key attributes, key contract terms, risks and opportunities, pricing, charging mechanisms, scope and renewal.
  • Guide and support regional sales and service teams through partner appointment and renewal governance processes. Ensure appointment and renewal business cases and other governance tasks have been completed in a timely fashion and renewals are completed on time.
  • Lead contracting activities with partners incl. drafting and preparation of contract documents, framework agreements and amendments. Oversee all negotiations for new / renewed partner contracts with a focus on risk flow down and cost reduction, periodically confirm partner compliance to contractual terms.
  • Develop standards and ensure partners meet Smiths requirements and brand.
  • Develop, maintain, and train contract templates, tools, policies, and materials to partner appointment and renewal processes, co-ordinating with the legal team and other corporate stakeholders.
  • Deliver duties as service management system global process owner for the partner community, managing training, and roll-out..

  • Develop strong relationships with the Commercial Team and with other Global Functions

The Individual
  • A degree (2:1 Or above) in either Law or Business.
  • Experience in commercial and contract management including reviewing software, license and maintenance agreements.
  • Commercial management of complex partnerships, channels, and subcontracts.
  • Commercial contracts drafting and negotiation, specifically channel partner and service subcontractor agreements.
  • Operating formal business governance and contracting processes.
  • Building/implementing/developing detailed business reporting to a very high standard including evidence of tracking and assessing commercial decisions.
  • Building trusted, high-quality relationships with senior level external partners.
  • Examining, digesting, and extracting key themes from complex data.
