The \xe2\x80\x98London Market\xe2\x80\x99 is a complex ecosystem of Brokers, Managing Agents, Syndicates, Companies and Experts, all of which use shared services to underwrite premiums and pay claims.

With unrivalled knowledge of mission-critical operations, the London Market Business has over 450 employees helping insurers compete in a changing, more consumer-centric market. Our core business services involve performing checks on insurance documents, processing premium transactions and processing claims transactions.

OVERALL PURPOSE OF JOB:

The Contracts/Commercial Manager is responsible for individual contribution as part of the London Markets Joint Venture Commercial & Contract Management function.

Primary day to day focus is commercial and contractual analysis and support services for the London Market Joint Venture\xe2\x80\x99s operations. Advising on (a) technology and outsourcing arrangements with customers operating on the Lloyd\xe2\x80\x99s Market and Company Markets; and (b) supply arrangements with vendors.

The role of Contracts/Commercial Manager requires the individual to be well skilled in commercial and contract analysis and provision of professional advice and guidance on contract interpretation, understanding of the key risks and obligations of contracting and an ability to leverage the contract to be maximum advantage including elements of profit / margin optimization.

Candidates should have particular strengths in teamwork (internal & external customers), contract risk/liability assessment and problem-solving. They must also have the interpersonal skills to build strong relationships with internal clients.

Candidates should be experienced in working autonomously/remotely from the team/clients but open to seeking advice from senior team members when needed.

The role may include local, regional, or global support and may also require travel from time to time.

REQUIREMENTS & COMPETENCIES:

  • BA/BS required (or regional equivalent education).
  • 3+ year experience in global corporation. Outsourcing/supplier experience desirable.
  • Contract and commercial drafting and assessment experience required, including a level of client (internal or external) engagement.
  • Ability to provide guidance/interpretation on existing contract provisions.
  • Ability to work remotely and within a team, build relationships with other business functions (legal, finance, compliance etc).
  • Good written and verbal communication skills in the local language and English.
  • Demonstrable knowledge and judgment about contractual and commercial risks/issues in transactions.
  • Demonstrate ability to think outside the box.
  • Experience in ensuring consistent management of all proposals and contracts. This generally includes oversight of the contract management process, as well as development of specific standards for bidding and submission, contract negotiations and document management. The contract manager\xe2\x80\x99s role in the contract development process requires close collaboration with various departments, including clinical operations, project management, account management, business operations and finance
  • Good working knowledge of the fundamental legal provisions of commercial contracts.
  • Good working knowledge of the commercial risks/issues of commercial contracting.
RESPONSIBILITIES:
  • Provide advice and support in connection with a range of contract types, including drafting and reviewing change control notices, small contract documents, legal research and contract interpretation.
  • Business governance support.
  • Work in tandem with a senior lead, if assigned, to assess and draft contractual provisions.
  • Provide contract administration such as sending notifications, letters, claims, and contract variations.
  • General contract obligations monitoring \xe2\x80\x93 including margin affecting clauses.
  • Provide ongoing advice to account teams regarding legal and commercial implications of specific terms and conditions in contracts.
  • Provide commercial / contract support to client account/sales teams.
  • Adherence to client policies, procedures and processes.
  • Provide transactional support in connection with a range of commercial agreements.
  • Assist account teams with change control notices and amendments to existing agreements.
  • Oversee organizational contract development and management activities, and enforce organizational principles of integrity and compliance.
  • Ensure that contracts and proposals are properly entered into organizational databases and securely maintained.
  • Perform appropriate clinical, administrative and operational research to support proposal and contract development.
  • Engage relevant stakeholders in negotiation decisions involving legal or regulatory requirements, contract standards and cost targets.
  • Develop and execute negotiation strategies that minimize potential losses and benefit the organization\xe2\x80\x99s financial performance.
  • Maintain deadlines on deliverables and communicate on an ongoing basis with business partners and internal clients about contractual issues.
  • Review contractual performance of both parties to ensure compliance with terms and to identify conflicts or changes requiring resolution at contract renewal.
