Technical Skills



Lead Advisory Projects o Review buyer/ funder research. o Discuss and finalise buyer/funder research with the client and agree final target list. o Review the information request list for IM / business plan. o Review IM/ business plan and teaser. o Discuss and finalise IM / business plan and teaser with the client. o Review valuation analysis (if required). o Review three year integrated basic financial forecast (if required). o Discuss and finalise three year integrated basic financial forecast with the client (if required). o Review further information. o Attend meetings with interested parties as required. o Discuss further information requests with the client and agree courses of actions. o Discuss initial offers with the client and agree course of action. o Negotiate with interested parties to elicit final offers. o Discuss final offers with the client and agree courses of actions. o Maintain a control schedule that details who has been approached and when and how, what have they been provided with and when, what their feedback has been. o Draft Heads of Terms on more complex transactions o Review Heads of Terms on less complex transactions. o Discuss heads of terms with the client and agree course of action. o Negotiate the heads of terms with the preferred interested party. o Review the information for the due diligence request. o Liaise with the client's solicitor to discuss any issues/amendments required to the legal documents. o Liaise with the client to discuss any issues/amendments required to the legal documents. o Negotiate any commercial terms with the preferred interested party and ensure any agreed position is reflected in the legal documents. o Raise invoices and discuss fees with clients if necessary Due Diligence Projects o Sign NDA. o Budget costs for project. o Email proposals to prospects with an agreed scope. o Initial planning meeting with client. o Review engagement letter. o Have an initial briefing meeting with the engagement team internally to highlight any key areas to target. o Review IRL. o Perform analysis in Data packs on larger/ higher risk due diligence assigments and collate Q&A packs. o Review analysis in Data packs. o Attend client / Target meetings. o Discuss internally a need for revised fees if major changes noted in the revised model provided by client. o Project management and liaising with other teams involved, including directing juniors and client updates. o Review draft report and workings. o Attend and support on Client / Target or bidder meetings. o Ensure all key emails during the Transaction have been saved in client file folder.

Qualifications



Fully qualified with an accountancy qualification (e.g., ACA, ACCA, CA).

Essential Experience



Significant experience in corporate finance, including leading advisory and due diligence projects, managing client relationships, and driving business growth.
