Reporting to the CRCO, the Governance Manager at Uinsure helps to support the business's Board and its committees, and the central administration of the governance structure.
This role is critical in designing and embedding governance structures across the business, and in particular they are accountable for delivering the Board processes, liaising with Directors, Executives and shareholders.
The role includes minute-taking and reporting at executive meetings and leading governance record keeping, and MI, using new technologies to support where possible. The annual calendar of Board meetings, and the sub committees is managed by the Governance Manager, working with the Executive Assistant, ensuring that papers are submitted and managed, record keeping is in place and actions are tracked.
The post-holder facilitates deliver the due diligence activities on behalf of the business for both existing and potential third-party relationships, ensuring an efficient onboarding process and ongoing oversight is delivered. They also provide vital ad-hoc support to the wider business to ensure operational alignment with governance principles.
The Governance Manager manages action delivery from function meetings, and is responsible for central record keeping, facilitating the effective control of the repository for all company information and policies. They will ensure that policies and procedural documents
Duties and Responsibilities
Ownership of the governance calendar, agendas, and coordination across business functions
Leading and reporting on due diligence processes for new and existing partners, using internal and partner systems.
Designing, documenting, and embedding governance structures across the business.
Managing, reviewing and updating key policies, controls, and regulatory frameworks.
Creating and maintaining governance documentation, registers, and procedural maps.
Coordinating and attending Board and executive-level meetings, minute-taking, action tracking, and follow-ups.
Providing support to the Board and Senior Leadership Team on strategic governance topics and initiatives, including supporting with agenda setting for Boards and Committees and aligning ExCo agendas accordingly in conjunction with C-Suite Management.
Providing guidance on regulatory expectations on governance and control, and best practice through horizon scanning.
Maintaining central oversight of business-wide action logs, risks, conflicts of interest, and other governance artifacts.
Acting as liaison for external audits and reviews, coordinating responses and follow-up actions.
Supporting the evolution of governance culture by educating teams on compliance and governance standards, and utilising technology to automate Governance processes and activities.
Previous Experience
Essential
Extensive experience in performing due diligence activities.
2+ years experience in a governance, compliance or business operations role.
Experience supporting Board-level forums and writing formal minutes.
Familiarity with the FCA regulatory landscape.
Desirable
Degree in a relevant discipline (e.g. Governance, Law, Business Management)
Have, or be working towards an ICSA qualification (Company Secretariat)
