Description

The Head of Governance Policy will work with the Group Company Secretary in being a trusted advisor to the Board, subsidiary Boards and their respective committees in matters of best practice in corporate governance and corporate law/regulation in order to enable the Board to have maximum efficacy in carrying out its duties and decision-making.

The role will provide leadership and support, when required, on all of the Group Company Secretariat department\xe2\x80\x99s activities, which include: Board and Committee support (including for a number of regulated entity boards), meetings support to the Chairs, the CEO and senior leadership team.

Responsibilities

  • Monitors and ensures compliance with the Companies Acts, Listing Rules, Disclosure and Transparency Rules and also any new corporate governance legislation/regulation/guidance impacting the Group and its subsidiaries
  • Acts as a horizon scanner for future changes to governance requirements and Listing Rules, analysing legal, regulatory, policy and legislative corporate governance issues that may impact the Group, including managing governance/compliance issues intra-Group that may follow as part of post transaction close with Refinitiv
  • Performs regular reviews of the Group\xe2\x80\x99s compliance with the Market Abuse Regulations and the UK Corporate Governance Code to include Terms of Reference of Board Committees, Group Authorisation Arrangements, delegation of authority, Board governance arrangements, and Group policies, etc.
  • Provides Company Secretary support to designated Boards and Committees (including regulated entity Boards), including preparing minutes, providing meeting support and facilitating agenda preparation
  • Provides support to the Chair, CEO and senior leadership team of relevant entities as well as supporting the Group Company Secretary in relation to designated Group Boards and Committees
  • Advises designated Board and Committee Chairs and assists them in agenda construction and horizon-scanning, making suggestions and recommendations for issues the Boards should cover thematically across the year or because of increased regulatory scrutiny or change
  • Collaborates with the relevant Chairs to oversee the recruitment, verification and induction of Non-Executive Directors, advising accordingly to ensure that the Boards are robustly constituted, diverse and bring the right level of scrutiny and challenge
  • Acts as the first point of contact for allocated Non-Executive Directors across the Group in terms of providing them with information, communication channels, advice and reassurance
  • Supports the Group Company Secretary and deputises from time to time
Key behaviours and skills
  • Practical experience of working as a Company Secretary or Deputy Company Secretary
  • Strong understanding of the key drivers of Board effectiveness
  • Demonstrates long-term strategic thinking, taking into account impact of decisions and contingencies
  • Preferable a qualified lawyer
  • Detailed knowledge of regulatory legislation and environment, as well as trends/changes
  • Experience in a Financial Services regulated environment
  • Extensive experience of working with Board-level internal stakeholders and senior managers
  • Experience of working in a regulated sector
  • Experience as a line manager
  • Excellent written and oral communications and meticulous attention to detail
  • A succinct communicator, persuasive and authoritative, and able to limit share of voice and deliver messages which are concise and crisp
