critical role in supporting OSB's corporate governance, statutory compliance and Board accountability.
The Governance & Secretariat team ensures that OSB's governance framework:supports effective decision-making at Board and Committee level
maintains compliance with statutory, regulatory and listing obligations
enables transparent and accurate shareholder and market disclosures
embeds industry-best governance and risk culture across the Group
The team acts as a trusted governance partner to the
Board, Board Committees, Executive Committee and senior leadership
, helping to safeguard the organisation's legal and regulatory standing and ensuring robust, transparent and effective governance practices. Through strong governance oversight, the team supports sound decision-making, statutory compliance and shareholder confidence across the Group.
What you will be doing?:
As the
Head of Statutory Compliance and Governance Reporting
, you will work collaboratively with colleagues across the Governance team to ensure the delivery of strong corporate governance throughout OSB. You will play a key role in supporting the organisation, the Board and its Committees in meeting their statutory, regulatory and governance responsibilities.
You will be responsible for the provision of statutory, regulatory and shareholder compliance across the Group, ensuring compliance with all relevant
legal, statutory, regulatory and disclosure requirements
, while promoting good governance practice throughout the organisation.
The role reports to the
Group Head of Corporate Governance
and works closely with the
General Counsel & Company Secretary
, supporting them in ensuring that OSB's corporate governance and conduct remain of the highest standard, consistent with a UK-listed financial services organisation.
Your responsibilities will include:
Disclosure & Reporting
Lead statutory and reporting compliance, including share plans and subsidiary management
Deliver PLC requirements including the AGM, Annual Report and shareholder communications
Ensure compliance with Listing Rules, Disclosure Guidance and Transparency Rules, Market Abuse Regime, Companies Act 2006, and UK Corporate Governance Code
Draft and release stock exchange announcements and oversee PDMR disclosures
Project manage the OSB Group Annual Report and subsidiary accounts, working closely with Finance, auditors and key stakeholders
Shareholder Services
Oversee share plan administration and issued share capital register
Manage documentation for share allotments and regulatory notifications
Act as relationship manager for the inside information portal and share dealing approvals
Board & Committee Support
Act as Secretary to key Board Committees (primarily Risk and Audit) and Management Committees
Coordinate meetings, prepare agendas, draft minutes, and advise on governance best practice
Support subsidiary governance, statutory filings, and director onboarding
Leadership & People
Line manage and coach team members, supporting professional development and capability building
Promote governance initiatives and maintain up-to-date reference materials

We are looking for talented individuals who have the experience and knowledge set out below:
Proven experience in a Senior Assistant Company Secretary position within a listed company environment
Strong knowledge of UK regulatory frameworks (Listing Rules, Companies Act, UK Corporate Governance Code)
Excellent stakeholder management and communication skills
Ability to lead complex projects and manage competing priorities
Qualified Governance Professional accredited by the Chartered Governance Institute, Legal Counsel or relevant professional qualification gained within financial services
Leadership skills with experience in line managing members of a governance team
