At a time of growth and fantastic opportunities, we are looking to grow our legal function and so are looking for a Junior Commercial Legal Counsel to join our Head of Legal. Reporting to the Head of Legal, this role offers you the opportunity to develop your legal expertise within a company that is ever evolving, providing you with the opportunity to work across multiple business areas with our internal and external stake holders.



Your key responsibilities as a Junior Commercial Legal Counsel will include:


Commercial contracts

: Reviewing, drafting, negotiating a broad range of agreements, such as SaaS agreements, Software license agreements, reseller agreements, Customer supply of services contracts, strategic partnership opportunities, NDAs, and any other IT or Software supplier Contracts.

Legal support

: Provide sound legal counsel and support the company's cross-functional goals. You will support and provide specialist advice to the sales team on new opportunities, or on business issues across the various FMTS teams, Operations, People/HR, Sales, Customer Success, Engineering and Marketing. You will be expected to identify and assess legal risks and provide counsel accordingly.

Risk management

: - ensure compliance with local, regional, and at times international laws, including proactively monitoring developments in laws, regulations, industry trends and best practices, which may include but is not limited to international compliance issues, data/privacy regulations, intellectual property, and other corporate matters. Providing support on legal and business affairs issues (as required) and ensuring that sound, commercial, solutions-focused advice is provided. Providing guidance and support, and preparing and delivering training on Friend MTS policies, procedures, and corporate governance, which are fundamental in maintaining effective performance, communication, and good business practice. Developing template contracts and documents and preparing corporate approvals.

You will be set up for success if you have:




a law degree a license to practice law in the UK with a current practising certificate in-house experience required and law firm training and experience of working across jurisdictions highly preferred 1-4 years PQE- although other relevant experience will be considered. Ideally qualified into a TMT seat or currently working in IT

Skills and experience




Excellent business judgment, intellectual curiosity and the ability to balance legal and business requirements Familiarity with data privacy regulations (GDPR, CCPA, etc.) strongly preferred High emotional intelligence and ability to communicate confidently, with a knack for explaining complex legal concepts to different audiences Ability to work autonomously with limited direction to drive high value, strategic deals to completion Excellent organisational, project management, and prioritization skills Ability to support global stakeholders in different time zones Excellent communication skills with a wide variety of internal and external stakeholders Demonstrated experience of the areas listed, including supporting complex commercial arrangements, and advising senior business stakeholders on a broad range of legal and compliance matters in the various jurisdictions Friend MTS operates in.
