Morgan Philips Specialist Recruitment are presently representing a London based oil and gas production company with an impressive north sea operations portfolio in their search for an In House Legal Counsel.

The successful candidate will work closely with key business operations, providing legal support to various internal stakeholders. You will be part of a team delivering legal advice to the business on JVs and operational issues, oil and gas agreements, licensing, decommissioning agreements and associated work streams, corporate governance, M&A, HSE matters and disputes.

Key Accountabilities:

  • Provide legal and commercial support to ensure that the Company, its assets, and its activities are legally safeguarded, in conformity with all applicable laws and regulations, and will not be unduly exposed to litigation, penalties or claims.
  • Assist in planning and developing solutions to existing or potential legal problems and advise senior management concerning the Company\xe2\x80\x99s legal rights and obligations.
  • Manage outside counsel assignments
  • Advocate company positions with counterparties, regulators and other stakeholders.
  • Assist with Company Secretarial matters including Companies House filings, board meeting preparation and updating/drafting company statutory documentation.
  • Assist on information and document management matters
  • Advise on and assist with legal aspects of decommissioning of assets.
  • Assist on M&A projects
  • Identify and mitigate legal issues in areas such as corporate governance, trade compliance, HSE and other regulatory enforcement matters and disputes.
  • Assist in carrying out due diligence and implementing programs and training, in conjunction with the Compliance Team, to educate employees as to the Company\'s policies, procedures and legal compliance requirements, including topics such as anti-corruption, to reinforce compliance culture.
  • Demonstrate a commitment to continually improving technical subject matter proficiency by participating in continuing legal education programs and other activities to keep informed of developments in the law and the energy industry.
Experience required:
  • 4-6 years of relevant legal experience is desirable
  • Strong E&P legal and commercial experience.
  • Familiar with joint venture and operational issues and agreements, including UKCS production licenses, joint operating agreements, unitization agreements, decommissioning agreements and third party use of infrastructure (including agreements for platform operating services, transportation and processing of hydrocarbons)
  • Familiar with legal aspects of M&A process
  • Previous exposure to company corporate or corporate financial matters would be a bonus but not essential
