Job Description


Join an oil and gas production and infrastructure company on a positive growth trajectory. This is a newly created role in an expanding legal department. There is the option to be based in either Aberdeen or London - periodic travel between both locations would be required.

As Legal Counsel, you\xe2\x80\x99ll work as part of a team delivering legal advice to the business on JVs and operational issues, oil and gas agreements, licensing, decommissioning agreements and associated work streams, corporate governance, M&A, HSE matters and disputes.

Duties and Responsibilities:

  • Providing legal and commercial support to ensure the company, its assets, and its activities are legally safeguarded, in conformity with all applicable laws and regulations, and will not be unduly exposed to litigation, penalties or claims.
  • Assisting the Senior Legal Counsel in planning and developing solutions to existing or potential legal problems and advise Senior Management concerning the company\xe2\x80\x99s legal rights and obligations.
  • Managing outside counsel assignments as required.
  • Advocating the company\xe2\x80\x99s position with counterparties, regulators, and other stakeholders.
  • Assisting the Senior Legal Counsel with Company Secretarial matters including Companies House filings, board meeting preparation and updating/drafting company statutory documentation.
  • Assisting on information and document management matters.
  • Advising on legal aspects of decommissioning of assets and assisting on M&A projects.
  • Identifying and mitigating legal issues in areas such as corporate governance, trade compliance, HSE and other regulatory enforcement matters and disputes.
  • Implementing programs and training to educate employees as to the company\'s policies, procedures, and legal compliance requirements.
  • Demonstrating a commitment to continually improving technical subject matter proficiency by participating in continuing legal education programs and other activities to keep informed of developments in the law and the energy industry.
Our client is seeking a candidate with the following qualifications, experience, and skills:
  • A Law Degree and licence to practise in the UK (Scotland or England and Wales)
  • Significant relevant legal experience, preferably gained in an E&P company.
  • Familiarity with joint venture and operational issues and agreements, including UKCS production licences, joint operating agreements, unitisation agreements, decommissioning agreements and third-party use of infrastructure.
  • Familiarity with legal aspects of M&A process.
  • Previous exposure to company corporate or corporate financial matters would be a bonus but not essential.
