Team/Function Overview

Citi\xe2\x80\x99s Legal Department in Belfast is a team of approximately 130 staff, covering a range of products and services across Citi\xe2\x80\x99s Europe Middle East and Africa region (known as \xe2\x80\x9cEMEA\xe2\x80\x9d).

The Belfast Legal Department provides a range of services, support and advice to many business areas with a particular focus on Citi\xe2\x80\x99s Institutional Client Group; incorporating transaction negotiation, master agreement negotiation, and oversight of compliance and regulatory requirements.

An exciting opportunity has arisen in the Belfast Markets Legal Department for a Negotiation Associate Officer role supporting certain businesses, primarily the Commodities business, within Citi\xe2\x80\x99s Institutional Client Group.

Role / Position Overview
This role will involve working closely with Citi\xe2\x80\x99s external clients as well as the Sales, EMEA and Global Product Heads for the respective business line and Citi Product Legal Counsel in negotiating, reviewing and analysing legal documentation whilst responsible for overseeing and advising the team of negotiators in drafting, negotiating, co-ordinating, implementing and execution of a variety of Master Trading Documentation including, but not limited to, ISDA Master Agreements, Credit Support Annexes, Account Control Agreements, Side Letters, Electronic trading agreements, EFET Master Agreements, MNAs, Emissions Annex, amendments and various ancillary documentation (e.g. guarantees and NDAs) across a wide range of counterparty types, and in compliance with Citi\xe2\x80\x99s policies and procedures. The successful candidate must also participate in the development and implementation of key processes and controls when documenting new clients, addressing governance / control issues when they arise and escalating to senior legal where appropriate.

The position will require an awareness of the impact of core regulation on the derivatives markets and underlying documentation. The successful individual will work closely with the team on reviewing/negotiating a broad range of standard legal agreements but must also be comfortable to use bespoke documentation structures.

Responsibilities:

The position will involve a number of responsibilities including but not limited to:

Negotiating/reviewing legal agreements with internal/external customers to reach agreement on the contents of the Bank\xe2\x80\x99s legal documentation, through telephonic or electronic negotiation and legal lock in sessions / client meetings (where required).

Close liaison with internal businesses/London Legal in connection with the negotiation of legal agreements in the relevant business area. Convey strong commercial awareness and understanding of the desk\xe2\x80\x99s priorities by ensuring prioritisation of file load is aligned with overall desk goals.

Work closely with Sales and Relationship Managers and Product heads to manage customer expectations and ensure documentation is in place ahead of regulatory or business deadlines, where required.

Interpret key commercial concepts from an array of trading agreements (including ISDA Master Agreements, Credit Support Annexes, Termination Agreements, Account Control Agreements, Electronic trading agreements, EFET Master Agreements, MNAs, Emission Annexe, amendments and various ancillary documentation and incorporate into EMEA specific documentation, accounting for the necessary regulatory and/or jurisdictional changes where required.

Apply in-depth understanding of how associated risks differ depending on product and documentation envisaged in relevant jurisdiction(s) and advise Risk and Business accordingly.

Ensure Citi\xe2\x80\x99s internal and regulatory policies are maintained, and where deviations are necessary, ensuring appropriate legal risk and / or business approvals are obtained.

Contribute to the development and implementation of process improvements, through liaising with internal stakeholders such as Technology, Risk, Client Risk Facilitation, Client Onboarding, Regulatory Reform, CVA, Operations and Legal.

Ensure key governance and control checks are implemented during documentation process; proactively identify and escalate issues within the relevant business.

Understand impact of applicable regulations on the business area and ensure that agreements meet with such regulatory requirements.

Problem solve in order to facilitate solutions to ensure technology systems and legal documentation can support client offerings in order to drive forward the client experience. Involvement with technology development discussions as and when potential solutions are being requested from or offered to clients which may have systems and/or documentation implications.

The successful candidate, as part of the wider Belfast Markets Legal team, will undertake a broad variety of tasks many of which entail direct and regular interactions with senior stakeholders, both regionally and globally. Broadening experience of Citi\xe2\x80\x99s ICG products and services and client base.

Qualifications:

Experience of working in a legal/financial service organisation preferable.

Experience of negotiating commercial contracts is advantageous but not essential.

Proven track record in delivering results in a challenging and changing environment.

Skills:

Excellent interpersonal communication skills.

Working knowledge of PC operating systems, particularly Microsoft Word and Excel.

Ability to communicate clearly and effectively (written & verbal) at all organisational levels with internal business partners and external customers.

Ability to effectively project manage and organise own workload meeting key milestones

Strong attention to detail and high levels of accuracy.

Education:

The successful candidate must have a high quality academic record including a degree qualification in the discipline of law.
