We have an exciting opportunity for you to join our team as a Manager - Corporate Services. Reporting to the Senior Manager (Corporate Services), this full time and permanent position is based in the UK.

Objective

The function of the Corporate Services business is to deliver professional services to corporate clients and primarily focus on the delivery of company secretarial and registrar services as well as any related advisory or ancillary services. The Manager has the primary responsibility for the timely execution of all company secretarial and registrar engagement arrangements and agreements within their remit. The Manager works closely with all members of the Corporate Services department, allocating and monitoring workload as appropriate.

As a key participant in the cultivation of current and new client relationships, the Manager will have responsibility for managing these relationships and acting as the primary interface.

Principal Responsibilities

The Manager should:

  • Manage an allocated portfolio of clients comprising Company Secretarial, Registrar and Nominee investor arrangements, with responsibility and accountability for the effective delivery of corporate services to those clients within required timescales;
  • Allocate, supervise and review the work of junior team members (who may be based overseas) who will be preparing Confirmation Statements and Accounts Filing reminders for your review and despatch to clients;
  • Deal with statutory filings and administration following allotments, transfers and buybacks of shares;
  • Prepare all relevant documentation relating to changes of registered office, directors and accounting reference dates;
  • Handle entity incorporations and ensure that the required on-boarding and client maintenance procedures are followed at all times;
  • Train junior team members as required (including training on software systems relevant to their role);
  • Together with the Senior Manager, implement the team\'s business plan and budget, assist with preparing client proposals and maintain records for billing;
  • Develop strong relationships with key clients and referrers of business to the Company, with a view to maintaining and further developing high premium business;
  • Be confident networking and representing the Company at technical and social events such as those arranged through the Chartered Governance Institute or CGPG, or other institute, industry or professional bodies;
  • Act as a focal point for questions and complaints from clients and assist, deal with/or escalate as appropriate;
  • Build own technical expertise by taking on more complex technical/advisory work, with support from the Senior Manager where required; and
  • Facilitate and ensure effective interaction with the Investor Services team in relation to any registrar or nominee services provided to its common clients.
The above list is indicative only and not exhaustive. The Manager will be expected to perform all such additional duties as are reasonably commensurate with the role. The Senior Manager may amend these responsibilities from time to time in line with changing organisational strategy, structure and roles.

Qualifications and Experience

The Manager should have:
  • Attained a graduate degree;
  • Achieved a professional company secretarial or governance qualification with the Chartered Governance Institute, at least to Associate level; and
  • Experience within a professional services environment or within a company secretarial team.
Knowledge and skills

The Manager should:
  • Have strong oral and written communication skills;
  • Have excellent attention to detail;
  • Be comfortable operating in a process oriented manner;
  • Be proficient in Microsoft Office, particularly Outlook, Word and Excel;
  • Have strong knowledge of company secretarial software packages (preferably Diligent Entities);
  • Have a good understanding of company secretarial best practices, UK corporate governance codes and UK companies\' legislation; and
  • Have a strong and demonstrable set of technical and soft skills gained from supporting boards of directors, particularly around the production of board papers and clear minuting of such meetings.
