POSITION OVERVIEW
The Governance and Appointments Committee (G&A) is a committee of the Board responsible for maintaining the highest standards of governance across BAFTA, supporting Board and committee trustee and non-executive appointments and providing oversight and a link to the membership. The Chair of the G&A plays a critical leadership role in ensuring that the charity's governance structures are effective, transparent, and aligned with the organisation's mission, charitable obligations, and regulatory requirements.
The Committee also holds delegated authority for matters relating to Board and CEO appointments, senior staff remuneration oversight, and includes two representatives from the Membership Council to ensure alignment with the broader membership.
The Chair of the GAC is also a Trustee of the charity and a full member of the main Board of Trustees.
KEY RESPONSIBILITIES
Lead the Committee in overseeing the organisation's governance framework.
Lead the Committee in overseeing transparent and merit-based recruitment and appointment processes for Trustees, Non-Executive roles, board advisors, the Chair, and the CEO.
Ensure the Committee maintains an up-to-date succession plan for Board and senior leadership roles.
Provide oversight of the remuneration policy for staff, ensuring it is fair, competitive, and aligned with the charity's values and financial capacity.
Promote transparent and constructive dialogue between the Board and Membership Council, particularly on matters of governance and appointments.
Ensure effective integration of the perspectives and input of the two Membership Council representatives on the Committee.
TERM AND TIME COMMITMENT
Term: 3-year term, maximum 2 terms, i.e., 6 years.
Meetings: Attendance at circa 12-14 meetings per year (minimum), G&A (six meetings) and the Board (six eight meetings).
Additional Commitments: Participation in committee meetings, special events, and other Academy activities as needed.
Promote transparent and constructive dialogue between the Board and Membership Council, particularly on matters of governance and appointments.
