The role


We are looking for a Paralegal to join our Corporate team in our London office.


The team




The Leveraged Finance team at Shoosmiths plays a pivotal role in delivering integrated advice on leveraged buyouts, acquisition finance, bid financings, and mid-market M&A and private equity transactions which require financing. Operating nationally across 5 of the 13 Shoosmiths offices, the team combines banking and finance specialists with corporate lawyers to provide seamless, end-to-end deal support. The team is led by experienced partners such as Ali Triptree and Rebecca Mauleverer with a growing roster of specialists.


In 2024 alone, the corporate team at Shoosmiths advised on over 370 deals worth 10.4 billion, with the leveraged finance group handling many of these high-profile mandates.. Positioned as a key growth engine within Shoosmiths' 2030 strategy, the team is investing in AI-driven innovation and business development to strengthen its market-leading reputation and deliver exceptional client outcomes.


The leverage finance team advises clearing banks and institutional lenders (enjoying panel status with many of them), private equity houses and corporate borrowers on a range of national and international financing arrangements, security documentation and intercreditor arrangements


Main responsibilities




You will have the opportunity to gain excellent exposure to high quality work, working closely alongside the team in addition to the wider banking and finance team.


Your main responsibilities will involve assisting on a wide range of finance transactions with a specific focus on asset-based lending and will include:


Drafting corporate authorisation documentation. Obtaining, reviewing and summarising information from Companies House. Drafting and reviewing ancillary documentation (including side letters, fee letters, amendment agreements). Preparing guarantee, security and release documentation. Maintaining a conditions precedent checklist. Monitoring and checking conditions precedent requirements. Liaising with clients and other lawyers in relation to condition precedent requirements. Assisting the team with post-completion work in relation to finance transactions (including attending to security registration and managing conditions subsequent deliverables). Preparation of completion bibles and post-transaction summary reports. Helping to update internal databases. Ad hoc research in relation to legal matters. Assisting with various other tasks as required. Attending marketing and networking events with clients.

Skills and qualifications




Ideally at least 4 months previous paralegal experience. Law degree or LPC or CILEX qualified. Proven ability to communicate effectively both verbally and in writing with clients and colleagues. Ability to adapt to changing circumstances and remain composed under pressure. Ability to manage, organise and prioritise a varying workload. Demonstrate a methodical approach with keen attention paid to every detail Capability to work collaboratively within a team as well as being able to work independently using own initiative. A willingness to take part in business development, including the attendance at networking and other marketing events.
