We have a superb opportunity for an experienced Senior Assistant Company Secretary to join our Central London based Company Secretariat team on an Interim basis. Reporting to the Deputy Company Secretary, you will support the Corporate Secretariat in delivering the highest standards of corporate governance.

You will be joining a team that has a broad remit and therefore you will have the opportunity to be involved in the wider delivery of corporate governance including the preparation of Board and Committee papers, the preparation of the Annual Report, organisation of the AGM as well as providing UK Listing Rule, DTR and Companies Act compliance support.

Ideally, you have recent FTSE 100/250 experience within a secretariat role, with board level interaction and the ability to act with a high level of discretion and professionalism. You will be an effective communicator with excellent interpersonal and strong organisational skills with the ability to manage multiple tasks and prioritise accordingly.

Duties & Responsibilities

  • Supporting with Board and Committee meeting planning, including the preparation and circulation of Board and Committee papers
  • Leading the production of the Governance Report in the Annual Report, with broader involvement in the production of the Annual Report
  • Managing the relationship with the Registrar, including leading the dividend process
  • Organising the Annual General Meeting, including the production of the Notice of AGM, ancillary shareholder documents and director briefing materials and liaising with the Registrar and other external suppliers
  • Ensuring compliance with the Market Abuse Regulation, including maintaining the Disclosure Policy and the Share Dealing Policy, as well as the Restricted Persons List and any ad hoc inside and confidential project lists
  • Ensuring compliance with obligations under the Companies Act, the UK Corporate Governance Code, and the Listing, Disclosure Guidance and Transparency Rules including completing statutory filings and regulatory announcements
  • Developing and maintaining a strong advisory relationship with the divisions to support the Corporate Secretariat
  • Recommending and driving change within the team by keeping up to date with relevant legal, governance and regulatory developments and producing associated Board papers as required

The Individual
  • Fully qualified Chartered Secretary.
  • Experience of UK listed company secretarial practice.
  • Excellent attention to detail, organised, proactive and flexible.
  • Good written and verbal communication at all levels including to senior individuals.
  • Ability to collaborate with other key departments and build strong working relationships.
  • Good knowledge of the UK Companies Act, Listing Rules, Disclosure & Transparency Rules, Corporate Governance Code, governance frameworks, Market Abuse Regulation.
  • Good working experience of Microsoft Office Packages.
