About the Role:

This role will play a pivotal part in the achievement of our goal to embed a consistent standard of corporate governance throughout Liberty Mutual's legal entities based in UK & MENA, Europe, Asia Pacific, and Latin America. It will report to the Deputy Company Secretary - International and assist in driving forward strategic initiatives, managing projects and BAU transactions aimed at delivering our goal. The role will primarily focus on strengthening the international team's systems and operational processes and on providing support for subsidiary governance and corporate transactions, including coordinating, and providing secretariat services for Group approvals and legal?entity board and shareholder meetings and approvals.

About the Department & Team:

Our established corporate governance team oversees all aspects of corporate governance for the Liberty Mutual legal entities outside of the US. We collaborate with our business partners including locally based legal and corporate governance experts to advance the strategic objectives of the organisation and best practice corporate governance by providing best in-class governance solutions and practical advice. We work closely with our Boards and colleagues across legal, compliance, risk and the wider business in the delivery of our role and for the overall protection of Liberty Mutual Group from regulatory and reputational risk.
Key Responsibilities:

Supporting the Deputy Company Secretary - International on a number of key matters including: Consulting and partnering with the business across multiple jurisdictions to deliver strategic initiatives and corporate transactions such as share capital restructuring (reductions, subdivisions, denominations, share allotments, etc.), Mergers and Acquisitions, Dissolutions, Dividend payments, Capital Injections, and other corporate actions. Overseeing the use of Diligent Entities as the source of truth for the Group's legal entity information. This includes liaising with international corporate secretaries and external service providers to ensure the integrity and accuracy of data is maintained, providing training, assisting in verifying records of complex transactions, and supporting the delivery of strategic initiatives aimed at improving the functionality of the tool. Embedding the use of the electronic board pack distribution system (Diligent Boardbooks), including training, and advising international corporate secretaries on the use of the platform. Collaboration with the US based Liberty Mutual Group Corporate Secretary's office on a range of BAU and project related corporate governance matters, including work on identifying opportunities aimed at improving governance efficiencies, enhancing compliance, and adding value. Managing the team mailbox and promptly resolving queries from stakeholders including international corporate secretaries, Treasury, and external service providers to facilitate compliance with local legal, AML, and statutory corporate governance requirements. Organising and producing subsidiary Board meetings, including preparing agendas, and meeting papers as required, in conjunction with the business, while managing logistics across different jurisdictions. Drafting clear and accurate minutes and actions in a timely manner. Liaising with non-executive and executive directors as required. Other ad-hoc duties, as required. Skills and Experience:

Established understanding of subsidiary governance within large international organisations. Advanced knowledge of Diligent Entities is essential. Practical experience of managing the corporate governance aspects of corporate transactions. Confidence, maturity, and gravitas to deal effectively and influence key decision making at senior level. Clear, concise communicator with strong relationship / inter-personal skills. Ability to build trust quickly and effectively collaborate and network with stakeholders in multiple jurisdictions, ensuring all relevant viewpoints are taken into consideration. Integrity and high ethical standards. Previous experience in Financial Services and/or a listed environment is desirable. Able to work proactively under own initiative, prioritise, handle time pressure and manage multiple projects at the same time with flexibility to adapt to shifting expectations.
