Role Purpose: The role of the Senior Legal Counsel is, as part of the legal team, to: assist the Head of Legal in ensuring the provision of comprehensive legal support to all areas of the business and at all levels across LPPI and in managing legal risk to LPPI; act as a point of contact for legal issues; assist the Head of Legal in the management LPPI's relationship with external law firms ensuring value for money and excellent service is provided by external law firms; contribute to ensuring the implementation of an appropriate legal framework and that associated policies and processes are in place; and contribute to the appropriate supervision and development of more junior members of the legal team.
Key Responsibilities: Management of, and liaison with, external legal counsel and/or related specialists. Provide specific legal advice and support in relation to the organisation's external and internal business activities. To provide support and assistance to the Head of Legal and Chief Legal & Compliance Officer as required. Manage legal aspects of business transactions with a focus on commercial and/or corporate law activities as they may arise from time to time including in relation to the direct investments made by LPPI's fund vehicles. Inform the business of developments in law and, in conjunction with the Compliance team, regulations that may impact the business of LPPI. Where necessary, develop standard documentation and commercial terms for LPPI and its general businesses. Analyse and identify legal risks and implications facing LPPI from time to time. Draft, review, negotiate and administer legal and transactional documentation. Provide assistance / input for legal aspects of LPPI projects. Appropriate supervision and development of junior members of the legal team.
Requirements for the role: Lawyer qualified in England & Wales, or comparative jurisdiction, with a minimum of 5 years PQE Proven legal experience in general commercial / contracts law and / or in corporate law / M&A including experience in the acquisition of infrastructure assets; whether gained in private practice and / or from an in-house role. Excellent knowledge and understanding of some or all of the following areas of law: commercial contracts, corporate / M&A, investment management, financial services regulation, public procurement, data protection, freedom of information. Previous experience working in a financial services context is desirable but not essential. Previous in-house legal experience is desirable but not essential. Some knowledge of AIFs of various types with experience advising on fund structures and fund investments is desirable but not essential. High degree of professional ethics and integrity. Sound judgement and ability to analyse situations and information. Outstanding communication and negotiation skills. Commitment to excellent customer service. Ability to work with a large degree of autonomy. Previous management and supervision of junior lawyers desirable but not essential. Experience of the breadth of the diversity agenda including embedding good practice and an understanding of the value of commitment to combating discrimination and promoting equality of opportunity.Reasonable adjustment will be made to working arrangements to accommodate a person with a disability who otherwise would be prevented from undertaking the work.
