Senior Legal Counsel

to help us comply with UK financial regulations and support our expansion into new markets.

Responsibilities




Regulatory Compliance Advisory



Strategically advise ZEN.COM on ensuring its UK operations remain compliant with all relevant payment regulation law, requirements established by the FCA, and any other pertinent authority within the UK. This involves analyzing the work flows and policies of the business from a legal perspective to reduce regulatory risk exposure.


Legal Documentation and Contract Mngmt.



Prepare, edit, and negotiate a wide variety of business legal documents including but not limited to: terms and conditions, agreements with partners and vendors, customer contracts, privacy policies, internal policies, etc. Each document must be properly worded and adjusted with regard to current legislation so as to not be too vague or unenforceable.


Corporate Governance And Legal Filings



Generate and keep up to date the corporate documentation and records which include but are not limited to: board resolutions, minutes of shareholder meetings, incorporation filings, and other regulatory submission corporate records. Assist in entity management ensuring that all actions taken at corporate meetings within the entity are in compliance with UK company law.


Regulatory Monitoring and Impact Analysis



Track on a continuous basis changes in statute law and other regulations affecting financial services in the UK. ZEN.COM strategy will change based on the company's evaluation of policies or laws governing its situation, and instructions will be provided where compliance changes are necessary.

Requirements




Professional Legal Experience



Minimum of 5 years of experience as senior legal counsel position, qualified solicitor, barrister, or in-house counsel within the financial services industry. Proven track record of advising on regulatory and compliance matters in a fintech environment.


Legal Expertise in UK Financial Law



Deep understanding of UK financial services regulations, including but not limited to the Financial Services and Markets Act (FSMA), Payment Services Regulations, and relevant FCA rules and guidance.


Problem-Solving and Strategic Thinking



Strong analytical skills with a solution-oriented mindset. Ability to navigate complex legal issues, offer pragmatic advice, support the business in achieving its goals while minimizing legal risk. Being a self-starter, proactively giving solutions to the business and always looking for continuous improvement.


Nice to have:




International Regulatory Insight (Preferred)


Familiarity with Singaporean financial regulations and MAS (Monetary Authority of Singapore) compliance frameworks is a strong advantage, supporting the company's international growth objectives.
