HSBC's Legal function plays a critical role in supporting the bank's global operations, managing legal risk, and ensuring the efficient and effective use of external legal resources. We work closely with leading law firms and alternative legal service providers (ALSPs) to secure the best commercial and strategic outcomes for the bank


We are currently seeking an experienced individual to join the Structured Finance & WPM Legal Team in CIB. As the Senior Legal Counsel you will provide a high quality, timely and cost effective legal advice and transaction management service to the Structured Finance team, with a key focus on;

Private securitizations of various assets classes, including without limitation, credit card, auto loan, mortgage loan and trade receivables portfolios Back- Leverage Facilities/Loan on Loan Transactions Financing of portfolio acquisitions (performing or non-performing assets) Providing regulatory advice as it relates to Structured Finance with a key focus Securitization Regulation.

In this role, you will:



Lead the structuring, review and negotiation of finance documentation for cross border loan, note, conduit and securitization transactions (with involvement from pitch phase to completion, and thereafter), alongside origination teams, Review, internal escalation and resolution of legal, reputational and other internal issues, Manage relationships with the various internal and external stakeholders, CIB senior management, Issuer Services, other colleagues in Legal (both in London and in other teams globally), Compliance, Credit and Tax, and Keep abreast of relevant regulatory and legal developments insofar as they affect Structured Finance transactions with a key focus on Securitization Regulation.

To be successful in this role you should meet the following requirements:



Qualified lawyer with demonstrable extensive experience within structured finance with a strong background in securitization, particularly from a lenders/asset backed lending standpoint, in navigating LMA documentation and have a strong understanding of UK/EU Securitization Regulation. Knowledge and experience of banking, corporate and securities law concepts and a working knowledge of the laws in the major jurisdictions in which HSBC operates. Ability to think independently being mindful of maintaining an appropriate balance between management and mitigation of legal risk and business efficacy. Ability to work with individuals at different levels of seniority, with the ability to build relationships by communicating, influencing and negotiating effectively with stakeholder/customers Corporate experience and Compliance experience an advantage, but not essential


The base location for this role is London with a hybrid working pattern.
