In transaction services at PwC, you will provide strategic advice and support to clients in their mergers, acquisitions, and divestitures. Your work will include conducting due diligence, financial analysis, and managing the transaction process.

About the Team





Our combined Disputes and Sale & Purchase Agreement (SPA) team helps clients navigate complex transaction?related matters, including disputes, value mechanisms and SPA negotiations. We support clients, both on the buy and sell side, across the lifecycle of a deal where our people develop specialist sector understanding and build key skills. We have an excellent reputation of bringing deep industry expertise, actionable insights through analysis and deals experience.



Our work covers a wide range of business threats, risks and complex issues, including sale of business disputes, completion accounts, earn?outs and SPA drafting. We help organisations pre?empt, avoid and resolve disputes, while also advising private equity, corporate clients and investment funds on key accounting aspects of SPAs. Our clients come to us to obtain our advice on the key value items in a transaction, including supporting them in their equity price negotiations as well as the drafting of the accounting elements of SPAs. You will work with highly experienced deal and dispute practitioners on both UK and international matters.

About the Role





As a Manager in our Disputes and SPA team, you will work in a specialist team of problem solvers. You will help clients identify and articulate value issues related to completion mechanics, support SPA negotiations, and address complex matters from preclaim through to negotiation and resolution. You will manage client engagements involving transaction?related disputes and SPA advisory work, bringing strong accounting, analytical and commercial skills.



You will be responsible for:

Acting as day to day client contact and managing key stakeholder relationships Liaising with external parties to obtain and critically assess relevant information Identifying value drivers, balance sheet risks, potential adjustments and areas requiring further investigation Supporting clients in their equity price negotiations as well as the drafting of the accounting elements in the SPA Managing engagement setup and engagement costs throughout the project Working closely with due diligence teams to identify and mitigate risks Drafting clear, concise client deliverables and reports Coaching junior team members and reviewing their output Proactively identifying opportunities to improve the efficiency and quality of our work Contributing to business development initiatives and building strong internal and external networks

The role will enable you to:

Work with an established and experienced team of SPA and Disputes practitioners, typically as part of small agile project teams, with good exposure to partners and directors Work in a highly motivated team, embracing flexible working Gain significant exposure to the "decision maker" in deals providing significant opportunity to influence the outcome of negotiations at the crunch point on deals

Skills and Experience



ACA/ACCA/ICAS/CPA qualified (or equivalent) Strong accounting and analytical skills, with excellent attention to detail and a high degree of accuracy both in analysis and when preparing written reports and outputs Experience in M&A, transactions, disputes or related advisory work (preferred but not essential) Strong commercial awareness and interest in the broader deal context Strong Excel skills and ability to analyse complex financial data Clear, confident communicator able to work with stakeholders at all levels Well organised with a logical, inquisitive and sceptical mindset Able to prioritise and deliver to deadlines across multiple projects, independently and within small, agile teams Desire to develop strong internal and external networks
