Job Description

Nuclear Restoration Services Limited (NRS) is a wholly owned subsidiary of the Nuclear Decommissioning Authority (NDA). NRS is responsible for decommissioning first generation nuclear power stations Berkeley, Bradwell, Chapelcross, Dungeness A, Hinkley Point A, Hunterston A, Oldbury, Sizewell A, Trawsfynydd and Wylfa, and research sites Harwell and Winfrith. NRS is also responsible for electricity generation at hydroelectric plant Maentwrog. As a division of NRS, NRS Dounreay is responsible for the clean-up and demolition of the former centre of fast reactor research and development.

The Assistant Company Secretary at Nuclear Restoration Services Limited supports the Company Secretary in maintaining corporate governance standards by advising the board, managing meetings, ensuring compliance, and handling governance documentation, requiring strong organisational, communication, and legal knowledge, with relevant qualifications and experience, and reporting to the Company Secretary.

Role Overview





The Assistant Company Secretary provides vital support to the Company Secretary in ensuring the Company maintains high standards of corporate governance.



This role suits an organised, detail-oriented professional with excellent communication skills and a strong understanding of Company law and company secretarial duties.


Key Responsibilities




Assisting in advising the Board of Directors on corporate governance matters. Assist the Company Secretary in preparing and distributing board agendas, papers, and minutes. Support the organisation and management of board and committee meetings, including scheduling, logistics, attendance, minutes and follow-up actions. Helping to ensure compliance with statutory and regulatory requirements, including filing annual returns and maintaining statutory registers. Draft and review governance documents, including policies, procedures, and terms of reference. Monitor changes in relevant legislation and regulatory environment, advising management of necessary actions. Maintain corporate records and databases accurately and securely. Handle correspondence with regulatory bodies, shareholder, and other stakeholders as required. Assist with the organisation of shareholder meetings. Support the onboarding and induction of new board members. Support the delivery of the Group Legal vision, including participation in cross-group working groups. Demonstrate adaptability and support the Transformation legal work as needed. Foster a collaborative, resilient, and constructive working environment within the GC function team . Work closely with Company Secretariat across the NDA Group to ensure alignment and shared goals Contribute to the continuous improvement of governance processes and company secretarial practices.

Key Skills and Attributes




Strong organisational and time management skills. Excellent written and verbal communication abilities. Keen attention to detail and accuracy. Ability to maintain confidentiality and exercise discretion. Sound understanding of the Companies Act and corporate governance frameworks. Proficiency in Microsoft Office and board portal solutions. Ability to work independently and as part of a team. Problem-solving skills and a proactive approach to tasks. Maintaining strong working relationships with other Group Corporate Governance Functions.

Qualifications and Experience




Relevant degree and professional qualification - Member of the Chartered Governance Institute. Prior experience in a company secretarial or corporate governance role. Knowledge of the UK Nuclear regulatory environment is an advantage.

Reporting Line





The Assistant Company Secretary reports to the Company Secretary and may deputise for them when required.

There is a requirement to live within a commutable distance to the sites where the role is based. For central/multi-site roles, we have various hubs across the UK and can be flexible with base location.
