About the Role:

Ferrero is currently seeking a Compliance / Commercial Counsellor to join their team situated in the Greenford offices. The role involves providing legal support to businesses operating in the UK & Ireland Region, with a particular emphasis on working closely with key stakeholders to foster collaboration across various functions. Responsibilities include offering legal advice on compliance matters, such as intellectual property, contractual law, marketing, and advertising.

The selected candidate will report directly to and collaborate closely with the General Counsel in the International Area Legal team. They will also work alongside the Group Compliance Counsel as a member of the Global Compliance Team. Additionally, the position includes managerial duties, overseeing the Legal Executive within the team.

Main Responsibilities:

As a member of the legal team, you will be responsible for providing commercial legal advice and conducting reviews in various areas. In terms of litigation and dispute resolution, your role will involve reviewing and providing advice on disputes, code/regulatory violations, and overseeing the engagement of external counsel and settlement of claims with third parties.

You will also serve as the Ferrero Ireland legal lead, where your responsibilities will include ensuring legal compliance, offering guidance, managing contracts, and providing general legal advice to all FMCG sales, Supply Chain, and Industrial operations in Ireland.

Supporting the Procurement function, you will assist with contracts, policies, and general legal matters. Additionally, as an Intellectual Property Regional specialist, you will have full responsibility for managing IP matters in the region, including tasks such as registration and portfolio support, training, and enforcement activities.

Collaborating closely with the General Counsel, your role will involve supporting the Marketing, Customer Development, and Consumer Insights teams to ensure full legal and regulatory compliance for the UK & Ireland business. This includes conducting campaign reviews and approvals, providing training and guidance, and reviewing contracts to ensure adherence to applicable laws and regulations.

You will work in collaboration with the Group Compliance Counsel to adequately manage and support legal risks and compliance within the UK & Ireland Region. This will involve creating and delivering training programs on various compliance topics in line with Ferrero Group standards. You will also be responsible for developing and arranging in-house training programs to enhance business awareness and compliance in areas such as Anti-trust, Anti-Bribery and Corruption, Modern Slavery, dawn raids, Data Protection, GSCOP, and other Group policies.

Maintaining the Compliance Platform and the Lawbot tool will also fall under your responsibilities.

As the Legal Manager, you will provide advice and monitor the legal and regulatory impact on the Regional business, particularly in key areas such as Supply Chain, Ireland, Marketing, Intellectual Property (IP), and GDPR. This will require staying updated on relevant legal developments and ensuring compliance within these areas. Additionally, you will oversee the UK & Ireland Legal Executive position, which covers Marketing, Company Secretarial, contract review, and artwork review. You will also contribute to the development of the Legal Executive role and assess potential candidates for future Junior Legal Counsel positions.

Commercial Contracts Management - you will be involved in drafting, reviewing, and negotiating various agreements such as distribution, supply, sales, information technology, procurement, and supply chain agreements, among others. Applying GRC (Governance, Risk, and Compliance) standards, supporting the development of Group templates and clauses, and managing contract standards will be essential aspects of your role. You will also be responsible for instructing and managing the engagement of external counsel for the Region, ensuring effective management of fees and instructions to provide value for money to the business.

Who we are looking for:

You must have significant in-house experience, preferably in an FMCG or retail business environment, focusing on compliance matters and contracts. A minimum of 3+ years PQE (Post-Qualified Experience) is required. They should possess a proven track record of professional experience, along with demonstrated management, interpersonal, and negotiation skills. The ability to work autonomously and proactively is essential.

Experience in advising and working on critical compliance legal areas is a requirement, including HSE (Health, Safety, and Environment), Bribery Act, Modern Slavery, Data Protection, and Competition law.

Moreover, previous experience of at least 3 years in a commercial business is necessary.
