EPAM is seeking a skilled

Corporate Counsel

to join our Global Legal Team within the Corporate Practice Group, reporting to the Deputy General Counsel - Global Corporate.


As part of this role, you will take responsibility for M&A and corporate transactions across the EMEA region while acting as a key legal advisor on a wide variety of corporate legal matters. You will work with cross-functional teams to support strategic growth initiatives, execute corporate transactions and ensure compliance across jurisdictions. This role can be fully remote with occasional travel to relevant offices for meetings.

Responsibilities



Provide legal support for strategic acquisitions and corporate transactions in the EMEA region including equity investments, joint ventures and restructurings Advise on corporate legal matters and ensure compliance with applicable laws and regulations Draft, review and negotiate legal documents for all phases of M&A including purchase agreements, term sheets and disclosure schedules Manage legal due diligence processes, assess risks and recommend mitigation strategies Coordinate antitrust and regulatory compliance while overseeing transaction closing mechanics Lead M&A integration efforts including post-closing governance, contract standardization and compliance Collaborate cross-functionally with internal teams to drive business-aligned solutions Oversee engagement with external counsel to ensure efficient and cost-effective legal support Stay updated on legal developments and provide proactive advice to internal stakeholders

Requirements



Qualified Solicitor with 3+ years PQE or J.D. with equivalent experience in corporate law or M&A Proven ability to lead complex global transactions including M&A and post-closing integrations Strong legal and business acumen with the ability to anticipate issues and mitigate risks Exceptional organizational skills and ability to manage multiple projects while meeting tight deadlines Interpersonal and communication skills with the ability to collaborate effectively across functions Self-motivated and proactive approach to problem-solving with a focus on delivering results Calm and composed under pressure, with discretion managing sensitive information and complex situations Experience integrating technologies such as AI to enhance efficiency in legal processes (preferred) Commitment to understanding EPAM's business and industry priorities to deliver impactful solutions
