Director Executive Compensation

Job Description



This role is responsible for all aspects of executive reward, equity schemes, partnering closely with Executive stakeholders, HR Leadership Team and Business Partners, Talent Acquisition and Finance. A strong ability to manage complex stakeholder relationships, provide trusted thought leadership, and execute with speed and precision is critical to this role.

Executive compensation:



Help lead the design and delivery of executive and senior management compensation programs. Partner with key Executives to design an incentive approach that attracts, retains, and motivates top talent. Responsible for executive and senior management compensation including package design and market analysis and benchmarking, working closely with HRBPs and the Talent team. Lead the management of the executive bonus scheme.

Equity and cash-based incentive programs:



Responsible for the equity-based and cash-based incentive programs in collaboration with Finance, Tax, Legal and external advisors, including communications and liaising with participants. Own the relationships with the external advisors relating to the equity and LTIP schemes.

M&A and corporate transactions:



Lead reward representative for all M&A and corporate transactions, including due diligence, integration planning, retention structures, and harmonization of reward, working closely with the HR team. Assess and recommend executive compensation approaches in target companies during M&A processes. Oversee change-in-control, golden parachute, and retention policy planning as needed.

Team:



Lead, mentor, and develop a compensation professional.


Qualifications



Demonstrable experience in executive compensation, preferably in privately owned businesses with management equity schemes. Experience in equity plan design, management and administration with a strong understanding of the legal, tax and accounting considerations. Strong commercial and financial skills. Strong analytical and modelling skills. Excellent communication and stakeholder management skills, with the ability to influence senior leaders. Ability to act as the subject matter expert, provide trusted thought leadership and influence outcomes. A pragmatic approach to delivery in a fast paced environment.

Experience in leading reward workstreams in M&A and corporate transactions. * Experience of working with or within private equity-backed or high-growth technology businesses.
