Role Overview:
The successful candidate will serve as a strategic legal and compliance leader, overseeing all legal, regulatory, and governance functions within the organisation. This role is responsible for providing expert legal counsel to senior management, managing internal and external legal teams, and ensuring compliance with local and international laws across multiple jurisdictions. Key responsibilities include leading corporate legal strategy, supporting business expansion, developing a best-in-class compliance framework, and fostering a strong governance and company culture. The role also plays a pivotal part in shaping the company's leadership team and operational ethos.
Key responsibilities:
Legal
Provide expert and strategic legal advice to this management on all business-related issues.
Oversee the work of outside counsel and coordinate legal matters handled by them. Oversee and control the legal budget of outside counsel.
Ensure compliance with local, state, and federal laws and regulations applicable to the company's operations. Obtain, maintain and update appropriate legal opinions to support existing markets and future market expansions.
Manage the legal functions of the company, including litigation, contract negotiations, intellectual property rights, and compliance issues.
Develop and lead corporate legal strategy to promote and protect the company's matters.
Co-ordinate the legal work in relation to the company's expansion into new markets or diversification into adjacent business projects. Advise the senior management team on risks of new projects.
Manage existing legal team including the privacy and data protection functions.
Grow team as business expands and engage senior staff members to support General Counsel in groups expansion.
Compliance
Recruit and manage a senior compliance staff member to assist with ongoing regulatory matters.
Co-ordinate with external counsel and compliance staff to design and build a robust governance structure to ensure best practice corporate compliance to include robust policies around AML, Anti-Bribery, Anti-Corruption, Whistleblowing, Diversity & Inclusion.
Co-ordinate with internal business partners such as the people department to ensure timely training is provided on key areas in the compliance and legal framework.
Work with C suite to ensure the delivery of a clear office/business culture and building of a team environment in the IOM.
Working with compliance/people teams to ensure appropriate training and development is delivered to all staff at onboarding and on an annual basis.
Corporate Governance
Help establish corporate governance strategies to ensure regular on island board meetings are undertaken and correctly minuted.
Ensuring all necessary information is being provided to statutory on island directors.
Establishing a framework and procedure whereby all key business decisions are correctly noted and minuted.
Recruiting appropriate staff to undertake company secretarial and due diligence functions to the highest standards.
Culture
Assist establishment of a strong senior management team in the IOM.
Work with C suite to ensure the delivery of a clear office/business culture and building of a team environment in the IOM.
* Act as key advisor and business partner to C suite including future CEO/COO.
