Hours: 35-40 hours per week + Board Meetings (Flexible Hours)
Salary: 13.00 per hour
Locations: Based at Head Office and across all sites in Chesterfield.
Main Purpose of the role:
As a company secretary, you'll need to ensure a company complies with financial and legal requirements, as well as maintaining its high standards of corporate governance. Although not strictly required to provide legal advice, you'll also need to have a thorough understanding of the laws that affect your areas of work.
- Working directly to the CEO / Finance Manager / Trustees.

As a company secretary, you'll need to:
General:
support the CEO and Trustees to ensure they are operating in accordance with rules and regulations.
support the CEO and Trustees in ensuring the board functions efficiently and effectively
facilitate good communication between the board, senior management and CEO.
take responsibility for the administration of the company, for example: staff files, maintaining statutory books, including registers of members, directors, secretaries and shareholders with all their past and present shareholdings, organising board meetings and annual general meetings (AGMs), preparing agendas and taking minutes.
file necessary documents with Companies House.
inform Companies House of any significant changes to the company's share capital, administration or registered address
monitor changes in relevant legislation and the regulatory environment and take appropriate action
liaise with external regulators and advisers, such as lawyers, solicitors and auditors
develop and oversee the systems that ensures the charity complies with all applicable codes, in addition to its legal and statutory requirements
provide secretarial services to the CEO and Trustees and the professional team
organise and service meetings, maintain diaries, and arrange appointments
type reports, memos, letters, and forms using word processing systems
provide administrative support at meetings including minute taking
manage email accounts and maintain records and filing systems
all aspects of operational administration and clerical support to the CEO and Trustees.
Finance:
Maintain and complete the monthly payroll spreadsheet for the finance manager.
Assist the Finance Manager with any financial admin that is required.
Training and Recruitment:
Assist theTraining and Recruitment Manager with any T&R admin and tasks that are required.
HR:
Complete staff file checks and pass on any actions to the CEO, Registered Managers and T&R Manager
Assist with the preparation of documentation for HR purposes
Take an active role in any HR meetings
To adhere to GDPR legislation
Adhere to the charities confidentiality policies and procedures
Adhere to all H&S policies and procedures
To take responsibility for own professional development by undertaking mandatory training and e-learning courses
To participate in staff meetings and in staff supervision, training and development activities
Complete the starters and leavers spreadsheet
To help the registered manager maintain the administrative systems for keeping records, particularly those required to comply with the current legislation
Collate monthly reports from RM, T&R, Finance and the CEO; The reports will then be sent out to Trustees.
General:
To make yourself available during emergencies eg. Bad weather conditions, to attend any part of the service as designated
Produce reports for board meetings
Produce reports for the CEO and Trustees
Work collaboratively with colleagues to ensure quality recruitment and training requirements are met
To attend all supervisions
To model all behaviors in line with the policies and procedures within the staff handbook
