Legal & Compliance Officer

Job Description

Purpose:


To manage and oversee all legal, compliance, and contractual matters across the companies, ensuring full adherence to HMRC regulations, employment law, and general commercial law while safeguarding the company's interests.

Key Responsibilities:



Customer distribution agreements:

Create/update control log of current/live agreements, noting expiry dates and notice periods for future action Custodian of 'master' agreements contract for future use Coordinate new agreements - liaising drafts for external approval, amending as necessary and coordinating final signing Coordinate electronic signing processes for all agreements using

DocuSign

and

Jotform

, ensuring proper audit trails and record-keeping
Supplier distribution agreements:

HMRC Compliance:

Ensure the company completes appropriate due diligence process and enquires for all new customers and suppliers Implement regular quarterly/6 monthly/annual customer and suppliers due diligence routines to satisfy HMRC requirements Implement other regular monitoring procedures for customers and suppliers. Note:Familiarity with HMRC processes desirable but not essential
Human Resources:

Custodian of all existing employee and contractors agreements Create new employee and/or contractor agreements as and when required Develop, review, and maintain company HR and others policies Support recruitment by reviewing and creating offer letters Coordinate onboarding and offboarding documentation Maintain employee records in compliance with data protection regulations Support HR audits and policy compliance checks
Other:

Custodian of Terms and Conditions of sale Custodian of NDA's and other ad-hoc agreements Support the business in maintaining proper legal and regulatory documentation. Monitor and advise on risks associated with business operations and contractual obligations.

Required Skills & Experience:



Understanding of HMRC compliance requirements and general UK business law would be an advantage but not essential. Experience managing contracts, NDAs, commercial agreements, and company policies. Excellent communication and negotiation skills. Attention to detail and strong organizational skills. Ability to work independently and advise management on legal and compliance matters.

Education:

Certificate of Higher Education (preferred)
Experience:

drafting/reviewing commercial contracts: 2 years (preferred) electronic signing (DocuSign/Jotform): 1 year (preferred) UK employment law & HR agreements: 1 year (required) HMRC compliance or supplier checks: 1 year (preferred) Advise management on legal/compliance: 3 years (required) creating/updating company policies: 2 years (preferred)
