Profitable and sustainable growth through acquisitions will remain one of our strategic focus areas. Therefore, the role of Director of M&A has been created. As part of the Strategic Business Development team, the Director of M&A is responsible for managing and executing the acquisition and integration processes.
The Director of M&A will be reporting to the Chief Strategy and Sustainability Officer.
The Director of M&A will identify potential acquisition targets (and maintain the opportunity list), provide opportunity analytics, lead the pre-acquisition workstreams, and manage the due diligence and negotiation process. Following a successful acquisition, the Director of M&A will lead the integration process (including alignment of business processes, integration of systems/tools and drive the 'cultural integration').
In addition to a detailed understanding of the broader energy management market and its dynamics, the following key skills are essential: strategic thinking, leadership and stakeholder management, analytical abilities (including financial analysis), effective communication skills, and commercial acumen.
Key Responsibilities:
Strategy & origination
Develop and maintain the M&A opportunity pipeline reflecting the defined strategic goals and objectives.
Identify and evaluate potential acquisition targets, partnerships, or divestiture opportunities.
Conduct market and sector analysis to inform pipeline development.
For identified targets, prepare and maintain information packages.
Due diligence & execution
Project management of the acquisition process.
Manage all phases of the deal process, including financial modelling, valuation, negotiation, and structuring.
Lead and coordinate internal and external due diligence activities (for example, legal, tax, finance, operations, etc.).
Prepare investment memoranda and lead Board presentations.
Support the preparation and execution of non-binding offers, letters of intent, and final agreements.
Integration planning & post-merger management
Collaborate with senior leadership and functional teams to define and develop integration plans.
Manage the implementation of the integration plan.
Drive follow-ups on due diligence findings and recommendations.
Track synergies, financial targets, and integration milestones post-close.
Ensure cultural alignment and continuity of operations in acquired entities.
Team & governance
Identify and partner with key stakeholders.
Manage the cross-functional matrix M&A team, including finance, legal, HR, and operations.
Support compliance reviews.
Report regularly on M&A pipeline, deal progress, and integration outcomes.
Continuously review and improve the acquisition process and documentation.
Qualifications, Knowledge, Experience and Skills:
Qualifications
Bachelor's degree in Finance, Economics, Business, or related field (required)
Skills
Solid understanding of financial modelling, valuation, and deal structuring skills
Strong commercial and strategic thinking
Excellent negotiation and influencing abilities
Strong leadership and project management skills
High attention to detail and ability to manage complexity
Excellent verbal and written communication skills
Ability to navigate ambiguity and drive decisions across diverse stakeholders
Experience
Proven track record of managing complex transactions (ideally cross-border and/or in engineering, infrastructure, or energy sectors)
Experience managing cross-functional teams and working with senior stakeholders
Familiarity with regulatory and legal frameworks relevant to M&A transactions
