The Maples Group looks to add a London based Assistant Company Secretary to our team and invites eager and qualified candidates to apply. This role is a 6 month Fixed Term contract. About the Role
The SA will assist the Group Company Secretary and Assistant Company Secretary (together, "Group CoSec") with the overall corporate governance of the Maples Group. The role will report into the Group Company Secretary and will work day to day with the Assistant Company Secretary. The Primary Functions of the role include, but are not limited to, the following core corporate governance functions:
Scheduling board meetings
Organising and distributing board packs
Assisting with the drafting, preparation and execution of minutes and written resolutions
Creating and updating internal trackers
Assisting in providing a central point of contact and coordination for all aspects of corporate governance across the various jurisdictions
Assisting in maintaining a central diary for board meetings and AGMs for all Maples Group entities
Assisting in maintaining a central repository of minutes and resolutions for all Maples Group entities
In addition, the role includes supporting the Group Company Secretary and Assistant Company Secretary with broader initiatives, including, but is not limited to, the following:
Board and committee governance
Assisting with the filing of minutes and resolutions of the Maples Group entities in their the official minute books
Where required, attending meetings and preparing agendas, draft minutes and written resolutions
Authorised signatories
Assisting with Group CoSec keeping authorised signatory lists up-to-date for all Maples Group entities (either maintaining directly or holding copies)
Assisting Group CoSec with keeping banking signatory resolutions up to date for all relevant Maples Group entities (either maintaining directly or holding copies)
Corporate information
Assisting with the maintenance of the central database of all Maples Group entities with core entity information
Assisting with updates to our internal intranet with relevant corporate information for MaplesFS Group entities (for distribution by MaplesFS staff in response to client due diligence requests)
EXPERIENCE
What You Bring
In addition to indisputably high ethical standards and autonomy, the ideal candidate possesses the following:
3 - 5 years of experience in an Assistant Company Secretary (or similar) role
Prior experience in compiling board packs and drafting minutes is required
Attention to detail with a high level of accuracy
Fluency in written and spoken English
A team player, capable of working together towards a common goal
Experience of the full Microsoft Suite
Excellent experience in Outlook and calendar scheduling
Self motivated and pro-active
Able to deliver to deadlines
Good communication skills, both written and verbal
Good Interpersonal skills
Ideally, experience with Diligent software
