The Role:




To support its strategic growth and transformation agenda, Cynergy Bank PLC is looking for an experienced assistant company secretary. Reporting to the Group General Counsel and Company Secretary. The role involves working closely across all areas of the bank, providing comprehensive support across all areas of the corporate governance agenda. A minimum of 3/4 years relevant company secretarial experience in the financial sector is required. The role will provide an opportunity to interact with leadership from an early stage.

Responsibilities:



Support the General Counsel/Company Secretary in ensuring compliance with legal and regulatory requirements, including the Companies Act. Assist with the preparation and filing of annual returns and manage the company's records and filing systems. Provide comprehensive board support, including the preparation of minutes and resolutions. Prepare and distribute agendas and papers and organise the logistics for board meetings, including administering the Bank's board reporting software platform. Draft and lodge required forms and returns with Companies House. Support the legal team in maintaining statutory compliance for entities within the company's remit (including insurance renewals). Liaise with board members, committee members, and other stakeholders. Support the enhancement of the legal and company secretarial department, by finding technology efficiencies for supporting productivity. Build strong relationships with internal and external stakeholders

Essential Knowledge & Experience:



Excellent communication Skills (both written and verbal) Excellent attention to detail, particularly around minute taking at board/committee level Experience working with board software (for e.g. Diligent/ Board Intelligence) Ability to work under time pressure Strong stakeholder management experience Proactive, collaborative and adaptable approach in a fast-paced environment Tech savvy and willingness to adopt to new ways of working Working towards/ or qualified CGI chartered secretary or other relevant governance professional qualification. AND/OR or a solicitor qualified in England and Wales

Desirable Knowledge & Experience:




Experienced assistant company secretary within a bank or finance provider Knowledge and demonstrable experience of company secretarial matters Experience of regulated businesses
